Terms and Conditions

These terms set the baseline rules for using Signoff, including account responsibilities, customer data, subscriptions, acceptable use, and service limitations.

Agreement to these Terms

These Terms and Conditions govern access to and use of Signoff, including our website, application, and related services. By creating an account, accessing a workspace, or using Signoff, you agree to these Terms.

If you use Signoff on behalf of a company or other organization, you represent that you have authority to bind that organization. In that case, "you" and "your" refer to that organization as well as the individual user.

The service

Signoff provides tools for creating checklist templates, starting checklist runs, assigning work, tracking completion, and maintaining audit trails. Signoff does not provide legal, compliance, accounting, or audit advice. You are responsible for deciding how to use Signoff in your own processes.

Accounts and organizations

You must provide accurate account information and keep your credentials secure. You are responsible for activity under your account, including activity by users you invite to your organization.

Workspace administrators control membership, permissions, billing choices, workspace content, and retention settings. If your account is provided by an organization, your use of Signoff may also be subject to that organization's policies.

Customer Data

You retain ownership of the data, content, and materials submitted to Signoff by you or your users, including checklist templates, checklist runs, assignments, comments, and audit records.

You grant Signoff a limited license to host, process, transmit, display, and back up Customer Data as needed to provide, secure, support, and improve the service and as otherwise described in our Privacy Policy.

You are responsible for Customer Data, including its accuracy, legality, retention requirements, and whether you have the rights and permissions needed to submit it to Signoff.

Acceptable use

You may not misuse Signoff or help anyone else misuse it.

  • No unlawful activity: Do not use Signoff in violation of law, regulation, third-party rights, or contractual obligations.
  • No security abuse: Do not attempt to bypass access controls, probe or attack systems, introduce malware, or interfere with service integrity.
  • No harmful content: Do not submit content that is abusive, deceptive, infringing, defamatory, or otherwise harmful.
  • No unauthorized automation: Do not scrape, overload, reverse engineer, or use automated access in ways that degrade or misuse the service.

Subscriptions and payment

Some Signoff features require a paid subscription. Plan limits, pricing, renewal terms, and included features are shown at checkout, in the application, or in an order form.

Paid subscriptions renew automatically unless canceled before the renewal date. Fees are non-refundable except where required by law or expressly stated in an order form. You are responsible for taxes, payment details, and billing contact accuracy.

We may suspend or downgrade access if payment is overdue, a payment method fails, or usage exceeds plan limits.

Third-party services

Signoff may integrate with or rely on third-party services for authentication, payments, infrastructure, communications, analytics, and support. Your use of those services may be subject to their separate terms and privacy policies.

Confidentiality and security

Each party may receive non-public information from the other. The receiving party will use reasonable care to protect confidential information and will use it only to perform under these Terms, except as required by law.

We maintain safeguards designed to protect the service and Customer Data. You are responsible for configuring accounts, permissions, exports, integrations, and user access in a way that fits your organization's needs.

Intellectual property

Signoff and its software, design, branding, documentation, and underlying technology are owned by Signoff and its licensors. These Terms do not transfer any ownership rights to you.

If you send feedback or suggestions, you allow us to use them without restriction or compensation.

Suspension and termination

You may stop using Signoff at any time. Workspace administrators may cancel subscriptions or delete workspaces through available product controls or by contacting us.

We may suspend or terminate access if you violate these Terms, create security or legal risk, fail to pay fees, or use Signoff in a way that could harm the service or other customers.

After termination, we may retain or delete Customer Data according to our Privacy Policy, product settings, contractual obligations, and legal requirements.

Disclaimers

Signoff is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

We do not guarantee that Signoff will be uninterrupted, error-free, or that audit trails or exports will satisfy any specific legal, regulatory, security, or compliance requirement.

Limitation of liability

To the maximum extent permitted by law, Signoff will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data.

To the maximum extent permitted by law, Signoff's total liability for all claims relating to the service will not exceed the amounts paid to Signoff for the service in the 12 months before the event giving rise to the claim, or USD $100 if you use a free plan.

Indemnification

You will defend, indemnify, and hold harmless Signoff from claims, damages, liabilities, costs, and expenses arising from your Customer Data, your use of the service, your violation of these Terms, or your violation of law or third-party rights.

Changes to these Terms

We may update these Terms from time to time. If changes are material, we will take reasonable steps to notify you. Continued use of Signoff after changes become effective means you accept the updated Terms.
